Sponsor

The shop that packages the DST — property, trust, PPM, selling group. Not the broker-dealer. Not a Form D field.

In this market the sponsor is the originator. It finds or buys the building, forms the trust, writes the PPM, and recruits broker-dealers to sell beneficial interests. An affiliate master tenant and manager usually sit in the same family. The signatory trustee is a different legal seat. The sponsor typically names or controls it.

The word is 1031-industry jargon, not IRS or Form D language. Revenue Ruling 2004-86 talks about trustees and beneficiaries. A Form D lists related persons (officers, directors, promoters) and commissioned sellers. Neither box says sponsor. A sports sponsor pays for a name on a jersey. A fund sponsor is a different job. Here it means the syndicator.

The sponsor is not the broker-dealer that sold the interest. Versity Investments and Crew packaged deals. Emerson Equity sold them. Brian Nelson is both: Versity sponsor on 4th & J, Emerson vice president on Vintage’s selling group.

Why it shows up here: the 2023 Nelson–Crew split turned one shop into two sponsors. Capital Square was floated as a replacement on the KHCA-track DSTs — a fight over the trustee seat, and over who assumes the bridge loan. If the sponsor is out of cash, recovery talk shifts off that pocket.
