Beneficial-owner counts sit near the 100-person 3(c)(1) cap (95 / 94 / 61 / 91). Clients are solicited; the filing says about 10% of clients sit in each fund.
Schedule A owners, both control persons, both since Aug 2014, both ownership code D (50% but less than 75%): Timothy Evan Sullivan (CEO, CRD 4505978) and Jaclyn Strife Sullivan (COO, née Strife, CRD 5334639). No indirect owners. They are married; she is Secretary / CFO / registered agent on the California filing.
The live Emerson link is registration, not the stale 10–25% ADV-scraper slice. Both are current Emerson Equity registered reps at this Sausalito address, not San Mateo HQ. Sullivan since 17 Nov 2009 — general securities principal (Oct 2011) and investment-banking principal (Oct 2018). Strife since 7 Aug 2012 (also a prior Emerson stint Feb 2011–Mar 2012); GSR only; her U4 other-business lists Oceanic as the DBA for “all securities related work,” ~160 hours/month. Emerson’s brochure still calls Sullivan “President” and still talks about “partial ownership by Oceanic Partners.” That ownership is not on Emerson’s 8 Apr 2026 Schedule A. Dominic Baldini is listed as an advisor on oceanic.us; his own U4 has Oceanic at ~2 hours/month since Apr 2017. SharesPost alumni — Baldini was CEO/CCO/FinOp there 2011–2016; Sullivan was president/co-founder; Strife was a lead producer.
The firm’s own “Select Services” copy includes “real estate single-asset syndications and purpose-built funds.” That is DST-adjacent language. It is not a Form D selling-group line, and neither RR is named in the pending Versity / Crew / IHC DST arbitrations.
Sullivan BrokerCheck: one denied 2012 SharesPost accredited-investor-form complaint (private placement; closed no action 15 Feb 2013) and a 2007 Advanced Equities discharge he reported as a compensation dispute. Strife: no disclosed events.
